Hi,
Sorry I skipped a day. I was the facilitator for the Paul Robeson Awards for Black indie filmmakers in Asbury Park, NJ.
On with the subject. In the last post I mentioned that Black (most) indie films have budgets ranging from $500,000.00 to $5,000,000.00. Now some have smaller budgets but this is the range for top quality, competitive movies with advertising costs included in the budget. These are small numbers for studios but can be large for individual investors who are not millionaires so how can you get involved?

There are a few ways. We cannot have 20 or more investors because then we'd have to register as a public company with the Securities and Exchange Commission. This is a very costly process and its not the way for a small company to go. You can ask how many investors the small film company is looking for and what is the minimun amount each person can put in the pot. If its more than you personally can afford, why not get a group of people together, pull your resources and come in as a group. The group will purchase on joint unit and split the returns. Now you must think carefully about the people involved with you.

This is a risky business and everyone should be aware of that. To lower the risk factor, look at the company's business plan (financing memorandum) carefully. Make sure that the plan to market, produce, advertise and distribute the movie is well thought out. You may not be an expert but have them answer your questions. You can read the script or a summary of the story, its up to you. But don't try to re-write the script. You either like the story or you don't. Trying to change the script can cause problems. The more people who offer their opinions, the greater the chance the story will become garbled instead of being crisp and engaging.

Hisani thanks for this valuable information. I wish i would have known this information about a year ago... I was in stage play that wasn't to well thought out and like you've stated people (myself included) began changing the script... I know now thanks so much for the knowledge

I'm not saying script changes are never needed. Its just that some people want to make changes that make no sense just because they have invested. The trick is to keep an open mind and see how a story makes you feel. It has to hit some kind of emotional nerve. If not, talk to the writer.

There are complex federal and state laws that govern how you raise capital from private investors. The best advice I can give is to consult a lawyer. The key is the financing memorandum mentioned above. It alerts investors to all the risks and provides all of the relevant facts you need to make an informed investment decision. There's an online service, regdresources.com, that prepares the investment memorandum for a $1,750 fee. The fee is way less than what an attorney would charge though. I found that out the hard way.
